Pursuant to Rule 14a-6 under the Securities Exchange Act of 1934, attached for filing via the EDGAR system are preliminary proxy statements and forms of proxy for a Special Meeting of Shareholders of the Trust, on behalf of each of its six series: the Marsico Focus Fund, the Marsico Growth Fund; the Marsico 21st Century Fund; the Marsico International Opportunities Fund; the Marsico Flexible Capital Fund; and the Marsico Global Fund (collectively, the “Funds”), to be held on October 12, 2007 (the “Special Meeting”).
