This form or one substantially equivalent hereto must be used to accept the offers (the “Exchange Offer”) of Broadcom Corporation (the “Company”) to exchange an aggregate principal amount of up to $500,000,000 2.500% Senior Notes due 2022 (the “New Notes”), that have been registered under the Securities Act of 1933, as amended (the “Securities Act”), for a like principal amount of the Company’s outstanding unregistered 2.500% Senior Notes due 2022 (the “Old Notes”) issued on August 16, 2012, upon the terms and subject to the conditions set forth in the Prospectus, dated [—] (the “Prospectus”) and the related Letter of Transmittal (the “Letter of Transmittal”), if certificates for the Old Notes are not immediately available or if the procedure for book-entry transfer cannot be completed on a timely basis or time will not permit all required documents to reach Wilmington Trust, National Association, as exchange agent (the “Exchange Agent”), prior to the Expiration Date. Such form may be delivered or transmitted by facsimile transmission, mail or hand delivery to the Exchange Agent as set forth below. In addition, in order to utilize the guaranteed delivery procedure to tender Old Notes pursuant to the Exchange Offer, a completed, signed and dated Letter of Transmittal, or facsimile thereof or Agent’s Message in lieu thereof, must also be received by the Exchange Agent prior to the Expiration Date.
