Howard L. Schrott, independent director of Time Warner Telecom Inc., Chairman of the Audit Committee and member of the Compensation and Human Resources Benefit Committees of the Board of Directors, has advised the Company of his resignation as an independent director of the Company effective July 15, 2005. Mr. Schrott has advised the Company that he plans to accept a position as a director of another public telecommunications carrier.
