1. Represents shares purchased on the open market by the reporting person.

2. Reflects the weighted average purchase price for all purchases made by the reporting person on the transaction date. The shares were purchased at prices ranging from $16.66 to $16.78 per share. Upon request by the SEC staff, the issuer or any security holder of the issuer, the reporting person will provide full information regarding the number of shares purchased at each separate price.

3. Not included in this amount are 191,580 performance-based restricted stock units of which 74,914 are eligible to vest from 0% to 200% following the end of 2022 and 116,666 are eligible to vest from 0% to 200% following the end of 2023. Vesting for each award is subject to the Issuer's achievement of certain financial goals and certification by the Compensation Committee.
