On April 12, 2021, Blucora, Inc. (the “Company”) sent an email to its employees in connection with the Company’s 2021 annual meeting of stockholders. A copy of such communication can be found below.

I’d like to share another update related to our upcoming annual meeting on April 21, 2021. This morning we issued a press release, with details of a statement by the Honorable William J. Baer, a leading antitrust expert, regarding Clayton Act issues if Frederick DiSanto is elected to the Blucora Board.
