Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements if Certain Officers.
(b) Todd Mavis has resigned as a Director of China 3C Group (the “Company”), effective as of December 17, 2007. There were no disagreements between Mr. Mavis and the Company on any matter relating to the Company’s operations, policies or practices, which resulted in his resignation. Mr. Mavis was a member of the audit committee of the Board of Directors of the Company. The Board of Directors of the Company is currently contemplating candidates to fill the vacancy on the audit committee created by Mr. Mavis’ resignation.
