Item 5.    OTHER EVENTS

On October 14, 2002, St. John Knits International, Incorporated (the "Company") announced the appointment of Kelly Gray and Bruce Fetter as Co-Chief Executive Officers of the Company. Ms. Gray and Mr. Fetter will assume their new positions effective November 3, 2002 when they succeed Bob Gray who is retiring. Mr. Gray will continue to serve as a member of the Board of Directors and Mr. Fetter will be added to the Board. See press release dated October 14, 2002, attached as Exhibit 99.1.
