Section 1 – Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement
On December 7, 2004, St. John Knits International, Incorporated (the “Company”) loaned Richard Cohen, its Chief Executive Officer, and his wife $2,025,000 to facilitate their purchase of a home in California. The loan is evidenced by a Mortgage Note dated December 7, 2004 issued by Mr. and Mrs. Cohen to the Company which bears interest at 5% per annum and is secured by a Mortgage of the same date on Mr. and Mrs. Cohen’s current residence in New York. The Mortgage Note is due upon the earlier of (i) June 7, 2006 and (ii) the sale or transfer of the Cohen’s New York residence.
