Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
| (a) | On January 19, 2012, the Board of Directors of Alaska Pacific Bancshares, Inc. (“Company”) amended Article III, Section II of the Company’s Bylaws, to set the minimum number of board seats to no less than seven (7) and not more than fifteen (15). A copy of the Company’s Amended and Restated Bylaws is attached hereto as Exhibit 3.2. |
