Exhibit 99.1
TransAtlantic Petroleum Ltd.
Announces Preliminary Financial Results for First Quarter of 2011; Delay in Filing Quarterly Report on Form 10-Q
FOR IMMEDIATE RELEASE
Hamilton, Bermuda (May 17, 2011) – TransAtlantic Petroleum Ltd. (TSX: TNP)(NYSE-AMEX: TAT) today reported its preliminary financial results for the quarter ended March 31, 2011. TransAtlantic Petroleum Ltd. (the “Company”) is providing these preliminary and unaudited results in an effort to keep its shareholders informed about the performance of the Company while it works to complete its Quarterly Report on Form 10-Q for the quarter ended March 31, 2011.
Form 10-Q for Quarter Ended March 31, 2011
On May 10, 2011, the Company filed a Form 12b-25 with the Securities and Exchange Commission (the “SEC”) giving the Company an additional five days to file its Form 10-Q for the quarter ended March 31, 2011. The Company was unable to file the Form 10-Q within the period prescribed under Rule 12b-25 because the Company acquired certain subsidiaries from Direct Petroleum Exploration, Inc. in the first quarter of 2011, the diversion and time and resources to the completion of the financial statements required to be filed with the Company’s Annual Report on Form 10-K for the year ended December 31, 2010 and the consolidation of the Company’s accounting databases into one database in Istanbul, Turkey. The Company reasonably expects to complete the Form 10-Q and file it with the SEC by the end of May.
Preliminary Financial Results
The Company expects total revenues for the quarter ended March 31, 2011 to increase to between approximately $30.0 million and $35.0 million compared to $12.4 million for the quarter ended March 31, 2010. The increase was the result of additional production in the Thrace Basin gas fields in Turkey.
The Company expects net loss for the quarter ended March 31, 2011 to be between approximately $10.0 million and $20.0 million compared to a net loss of $11.3 million for the quarter ended March 31, 2010. The Company cautions that the estimation of net loss is preliminary and subject to change, possibly materially, following the completion and analysis of the Company’s data for its operations in Turkey.
The Company expects total shareholders’ equity for the quarter ended March 31, 2011 to be between approximately $280.0 million and $300.0 million compared to $252.0 million for the quarter ended March 31, 2010.
The Company cautions that all of these financial results are preliminary and subject to change, possibly materially, following the completion and analysis of the financial statements for the quarter ended March 31, 2011. The Company reiterates that the above preliminary and unaudited financial information does not represent all of the information that would normally be included in a Quarterly Report on Form 10-Q with respect to the Company’s financial results.
