The following information is provided pursuant to Item 5.02(b):
On February 20, 2007, Workstream Inc. (the “Company”) issued a press release stating that Michael Mullarkey announced his resignation as Chief Executive Officer of the Company, effective immediately. In the same release, it was announced that Deepak Gupta, the current President of the Company, had been appointed Chief Executive Officer. Michael Mullarkey will continue as Executive Chairman of the Company’s Board of Directors.
