Item 2.02. | Results of Operations and Financial Condition. |
On November 18, 2010, Blue Coat Systems, Inc. (the “Company”) issued a press release announcing the Company’s financial results for its second quarter ended October 31, 2010. A copy of the Company’s press release announcing its financial results is attached hereto as Exhibit 99.1.

The Company also announced that its Board of Directors has approved a program to repurchase up to $50 million of its common stock. Repurchases may be made from time to time in the open market or in negotiated transactions and are expected to comply with Rule 10b-18 under the Securities Exchange Act of 1934 and other legal requirements. The timing and amount of the repurchase transactions will be determined by management and may depend on a variety of factors, including the trading price of the stock, market conditions, alternative investment opportunities, and other corporate and regulatory considerations. The program does not obligate the Company to acquire any particular amount of common stock and the program may be modified or discontinued at any time. The repurchases will be funded from available working capital.
