Item 5.02 Election of Directors and Appointment of Principal Officers
On July 18, 2006, the Board of Directors of Sonoran Energy, Inc. (the "Company") appointed Robert M. King to fill a vacant director position on the Board.
From 2002 to September 2004, Mr. King was co-founder and Managing Director of Red Oak Capital Management, LLC, a private firm which raises capital for development drilling projects and provides other similar advisory services for small oil and gas companies. From January 1996 to December 2001, Mr. King served as Senior Vice-President and Chief Financial Officer of Nuevo Energy Company. With Nuevo, Mr. King led all financial functions of the company, evaluated investment opportunities and participated in the evaluation, structuring, and closing of acquisitions and divestitures. Mr. King also participated in the restructuring of Nuevo's corporate governance and implemented a value-based measurement and management compensation program.
