Item 4.01 Changes in Registrant’s Certifying Accountant
On October 3, 2006, the Company was informed by its auditors Marc Lumer & Company that they had resigned as the Company’s Auditors, effective immediately.
Item 8.01 Other Matters
On September 27, 2006, the Company was informed by the San Francisco District Office of the Commission that it had filed a civil action in the United States District Court against The Children’s Internet and key members of management and related parties. A copy of the complaint is available on the SEC Website. The Company has prepared a press release in response to this action and a copy is attached hereto as Exhibit 99.1.
