Explanation of Responses:

1. The restricted stock units vest in three annual installments. Of the 15,000 restricted stock units, (i) 10,000 will vest on March 15, 2019, (ii) 2,500 will vest on March 15, 2020 and (iii) 2,500 will vest on March 15, 2021.

2. Restricted stock units convert into common stock on a one-for-one basis.
