The Reporting Person is an employee of Silver Point Capital, L.P. ("Silver Point"). Mr. DiNello has an understanding with Silver Point pursuant to which he will hold any compensation received as a director for the benefit of Silver Point and certain of its affiliates. Mr. DiNello disclaims beneficial ownership of any of the Issuer's securities held by Silver Point or its affiliates.
