Explanation of Responses:

1. Restricted Stock Units convert into common stock on a one-for-one basis.

2. Represents grant of Restricted Stock Units payable solely in common stock of the Issuer that vest upon the earlier of (i) one day prior to the date of the Issuer's annual meeting of stockholders to be held in 2020 or (ii) June 3, 2020. Shares will be delivered to Reporting Person on such vest date.

3. These shares are held by a family trust for which the reporting person is a co-trustee.

4. 100% of the shares subject to the Restricted Stock Units vested on June 2, 2019.
