On November 9, 2007, Bradford Benson, Executive Vice President, Products and Technology of Taleo Corporation (“Taleo”), entered into a consulting agreement with Taleo, effective November 15, 2007 (the “Consulting Agreement”). In connection with entering into the Consulting Agreement, Mr. Benson will resign as Executive Vice President, Products and Technology, and the employment agreement between Mr. Benson and Taleo dated March 8, 2006 will terminate, effective November 15, 2007.
Pursuant to the Consulting Agreement, Mr. Benson will provide certain product, technology and strategy related services for Taleo, and Taleo will pay Mr. Benson $20,000 per month. The Consulting Agreement terminates on February 28, 2008, unless terminated earlier or extended pursuant to its terms. Also, Mr. Benson is subject to nonsolicitation and noncompetition covenants for one year following the termination or expiration of the Consulting Agreement, as well as customary confidentiality covenants for the term of the Consulting Agreement and one year thereafter.
