On May 6, 2008, Taleo Corporation issued a press release reporting its results for the quarter ended March 31, 2008. A copy of the press release issued by Taleo concerning the foregoing results is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 5, 2008, Jeffrey Carr, the Company’s Executive Vice President, Global Alliances and America Sales, resigned from the Company. Mr. Carr’s resignation is effective immediately. As a result of his resignation, Mr. Carr will receive the benefits to which he is entitled pursuant to his Employment Agreement dated March 8, 2006 and previously filed as Exhibit 10.10 to the Company’s Annual Report on Form 10-K on April 17, 2006, subject to his signature of a release with the Company as set forth in his Employment Agreement.
