This Current Report on Form 8-K/A amends the Current Report on Form 8-K originally filed by Catasys, Inc. (the “Company”) on January 22, 2014 announcing the appointment, effective as of February 4, 2014, ofDavid Smith, Marvin Ingelman, Minal Patel, MD, MPH, Richard Berman and Steven Kriegsman to the Board of Directors (the “Board”) of the Company, to indicate that on June 23, 2014, the Board of the Company appointed (i) Mr. Kriegsman as Chairman of the Compensation Committee of the Board and Messrs. Patel and Ingelman as members of the Compensation Committee of the Board, and (ii) Mr. Ingelman as Chairman of the Corporate Governance Committee of the Board and Messrs. Kriegsman and Patel as members of the Corporate Governance Committee of the Board.
