Item 1.01. Entry into a Material Definitive Agreement.
On September 29, 2014, Catasys, Inc. (the “Company”) entered into Securities Purchase Agreements (the “Agreements”) with several investors (collectively, the “Investors” and each, an “Investor”), relating to the sale and issuance of an aggregate of 750,000 shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), at a price of $2.00 per share for aggregate gross proceeds to the Company of $1.5 million (the “Offering”).
Chardan Capital Markets, LLC acted as the sole placement agent for this Offering, in consideration for which it received 55,000 restricted shares of Common Stock of the Company.
