On January 6, 2011, Mr. Robert A. Okun was elected to the Company’s Board of Directors as an Independent Member. He will receive the Company’s standard independent director cash and equity compensation of $60,000 per annum (to be prorated for time of service).

Mr. Okun replaces Mr. Edward Dowd, Jr. who due to time constraints, tendered his resignation from the Board of Directors effective December 31, 2010 to the Company.
