EXPLANATORY NOTE
Kerr-McGee Corporation (the "Company") is filing the materials contained in this Schedule 14A with the Securities and Exchange Commission on March 17, 2005 in connection with the solicitation of proxies for the election of two directors to the Company's Board of Directors at the Company's 2005 Annual Meeting of Stockholders.
Corporate headquarters and Oklahoma operations
Oklahoma City-based Kerr-McGee Corp. is an energy and inorganic chemical company with operations worldwide and more than $14 billion in assets. It is one of four Fortune 500 companies headquarterd in the state of Oklahoma. The company employs approximately 600 people in the state and approximately 4,100 worldwide.
Kerr-McGee Chemical's Technical Center, which includes a research and development facility and a technical sales and service laboratory, also is located in Oklahoma City. Employees research and develop new grades of Tronox®, the company's brand of titanium dioxide pigment, and service customers in about 100 countries.
Kerr-McGee Oil & Gas operates about 500 wells in Oklahoma, with gross daily production of approximately 1,200 barrels of oil and 40 million cubic feet of natural gas. The company expects to drill more than 20 wells in the state in 2005.
