1st Constitution Bancorp (the “Company”) is furnishing herewith presentation materials to be used in communications with investors, investment bankers and analysts as Exhibit 99.1 to this report pursuant to Item 7.01 of Form 8-K. On August 30, 2019, the Company issued a press release announcing that it received approval from the Federal Deposit Insurance Corporation of the proposed merger of Shore Community Bank (“Shore”) with and into the Company’s wholly-owned subsidiary, 1st Constitution Bank (the “Bank”). A copy of the press release is attached and is being furnished as Exhibit 99.2 to this report pursuant to Item 8.01 of Form 8-K.
No Offer or Solicitation
On June 23, 2019, the Company and the Bank entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Shore, providing for the merger of Shore with and into the Bank, with the Bank as the surviving entity (the “Merger”). The material terms of the Merger Agreement and the Merger were disclosed on a Current Report on Form 8-K filed with the SEC on June 25, 2019.
