ITEM 8.01. OTHER EVENTS
On January 3, 2006, United Online, Inc. (the “Company”) paid in full the outstanding balance of approximately $55 million under the Credit Agreement, dated as of December 3, 2004 (the “Credit Agreement”), among the Company, the lenders party thereto from time to time, Deutsche Bank Trust Company Americas, as administrative agent, and Deutsche Bank Securities Inc., as lead arranger. The Company originally borrowed $100 million in term loans under the Credit Agreement in December 2004. Effective upon payment of the outstanding balance, the Credit Agreement terminated and is of no further force or effect.
