ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On February 7, 2006, the Compensation Committee of the Board of Directors of United Online, Inc. (the “Company”) approved a salary increase of ten percent (10%) for the following named executive officers of the Company: Mark R. Goldston, Charles S. Hilliard, Frederic A. Randall, Jr., Gerald J. Popek and Jon O. Fetveit. The increases are retroactive to January 1, 2006.
