Item 8.01. Other Events.
On March 25, 2015, AXIS Capital Holdings Limited (“AXIS”), a Bermuda exempted company, and PartnerRe Ltd., a Bermuda exempted company (“PartnerRe”), issued a joint press release announcing that they had received early termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 with respect to the definitive amalgamation agreement that the companies announced on January 25, 2015.
In the same press release, AXIS and PartnerRe also reported that on March 13, 2015, Standard & Poor’s Ratings Services (“Standard & Poor’s”) said that it has affirmed its ‘A-’ long-term counterparty credit ratings on both AXIS and PartnerRe, including its ‘A+’ long-term counterparty credit and financial strength ratings on their respective operating companies, and removed them from CreditWatch negative, where Standard & Poor’s had initially placed them following the announcement of the amalgamation between AXIS and PartnerRe.
