Explanation of Responses:

1. On November 18, 2020, 13,545 shares of Xylem Inc. common stock were transferred from the Steven R Loranger Revocable Trust to the Steve and Betsy Loranger Foundation.

2. Includes 15,172 deferred restricted stock units scheduled to vest when Mr. Loranger retires from the Xylem Board of Directors. Each restricted stock unit represents the right to receive one share of common stock upon vesting.
