Explanation of Responses:

1. On December 14, 2021, 12,491 shares of Xylem Inc. common stock were transferred from the Steven R Loranger Revocable Trust to the Steve and Betsy Loranger Foundation.

2. Includes 9,098 of vested RSUs and 1,328 of RSUs scheduled to vest on May 12, 2022. Mr. Loranger elected to defer the 10,426 RSUs until he retires from the Xylem Inc. Board of Directors.
