1. Restricted stock units ("RSUs") convert into common stock on a one-for-one basis as annual compensation to the non-employee members of the Board of Supervisory Directors.

2. On August 3, 2015, the reporting person was granted 9,265 RSUs, which vested in full on August 3, 2016.

3. On May 20, 2016, the reporting person was granted 10,060 RSUs, which will vest in full on May 1, 2017.
