As announced in a press release dated June 18, 2007, a copy of which is attached hereto as Exhibit 99, the Board of Directors of Asset Acceptance Capital Corp. (the “Company”) approved, on June 18, 2007, a special one-time cash dividend of $2.45 per share of its common stock payable on July 31, 2007 to shareholders of record on July 19, 2007. This special one-time cash dividend is part of the Company’s previously announced plan to recapitalize its balance sheet and return $150 million to shareholders.
On June 18, 2007, the Board of Directors of the Company also approved the following adjustments to outstanding stock option awards and outstanding deferred stock units (DSU’s) previously granted under the Company’s 2004 Stock Incentive Plan, as amended (the “Plan”), in connection with and following the approval of the special one-time cash dividend of $2.45 per share:
| • | | The exercise price per share for each stock option will be reduced by $2.45, the amount of the special one-time cash dividend per share. |

| • | | $2.45, the amount of the special one-time cash dividend per share, will be credited to the account associated with each outstanding DSU, and the dollar value of the additional credits will be converted into additional DSU’s based on the fair market value of the underlying shares immediately after the Company’s payment of the special one-time cash dividend on July 31, 2007. |
These adjustments will be effective immediately after the payment of the dividend on July 31, 2007. Changes in the beneficial ownership of stock options and DSU’s by each executive officer and director, as the case may be, of the Company resulting from the adjustments described above will be reflected on each such individual’s respective Form 4 filed with the SEC after the adjustments become effective on July 31, 2007.
