On July 25, 2007, the Board of Directors of Asset Acceptance Capital Corp. (the “Company”) approved an amendment, effective July 25, 2007, to amend and restate in its entirety Article VII of the Company’s Amended and Restated Bylaws (the “Bylaws”). The primary purpose of the amendment is to allow the Company to issue shares of its capital stock in both certificated and uncertificated form. NASD Rule 4350, “Qualitative Listing Requirements for Nasdaq Issuers Except for Limited Partnerships”, provides in part that, on and after January 1, 2008, all equity securities listed on Nasdaq must be eligible for a direct registration program which, in turn, requires the Company to be authorized to issue shares of its common stock in uncertificated form. Article VII of the Company’s Bylaws previously permitted classes or series of capital stock of the Company to be issued in either certificated or uncertificated form, but not both. The full text of the Bylaws, as amended and restated effective July 25, 2007, is attached hereto as Exhibit 3.1 and is incorporated by reference herein into this Item 5.03.
