Explanatory Note

This Amendment No. 1 to the Current Report on Form 8-K/A amends Exhibit 99.1 furnished pursuant to Item 2.02 of the original Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on January 30, 2020 to replace the tables on page 15 and reflect the announcement of the recent entry into a definitive transaction agreement on page 16 of the Earnings Presentation.

A copy of the updated Earnings Presentation of Hilltop Holdings Inc., or the Company, for the quarter ended December 31, 2019 is set forth in Exhibit 99.1 attached to this Current Report on Form 8-K and is incorporated herein by reference. The Company intends to use the updated Earnings Presentation, in whole or in part, in one or more meetings with investors or analysts, including in a webcast on January 31, 2020 at 8:00 a.m. (central time).
