Item 8.01 Other Events.
On July 16, 2007, VIASPACE Inc. signed an agreement on behalf of its majority owned inactive subsidiary eCARmerce Inc., whereby eCARmerce Inc. sold all of its patents and patent applications to Viatech Communication LLC for net proceeds of approximately $325,000, subject to customary closing conditions. The patents and patent applications sold relate to eCARmerce’s interactive radio technology. VIASPACE Inc. retains a worldwide, non-exclusive license under the patents. The parties will use commercially reasonable efforts to try to close the transaction within 30 days although it could take as long as 60 days.
