NOTICE IS HEREBY GIVEN that pursuant to its bylaws and call of its directors, the 2021 Annual Meeting (the “Meeting”) of the holders of shares of Common Stock of Bank of the James Financial Group, Inc. (“Financial”) will be held on May 18, 2021 at 4:00 p.m. local time.
The purposes of the Meeting are to consider and act upon:
1. The election of four (4) Group Three directors;
2. The ratification of the selection by Financial of Yount, Hyde & Barbour, P.C., an independent registered public accounting firm, to audit the financial statements of Financial for the fiscal year ending on December 31, 2021;
3. The approval, in an advisory, non-binding vote, of the executive compensation described in the Proxy Statement; and
4. Such other matters as may properly come before the Meeting or any adjournment or postponement thereof.
The Meeting will be held by virtual meeting format only at:

To attend the virtual meeting, you must enter the control number found on your proxy card or elsewhere within in these proxy materials.
We are not aware of any other business to come before the Meeting, other than procedural matters incident to the conduct of the Meeting.

Holders of shares of Common Stock of record at the close of business on March 23, 2021 will be entitled to notice of and to vote at the Meeting or any postponements or adjournments thereof.
This Notice, the Proxy Statement and a proxy card are being sent to shareholders of Financial on or about April 10, 2021. A copy of our 2020 Message to Shareholders with is attached to our Annual Report on Form 10-K for the year ended December 31, 2020, which contains our audited financial statements, also accompany the Proxy Statement.
