Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
(d) On August 24, 2006, the Board of Directors (the "Board") of Atlas America, Inc. (the "Company") increased the number of members of the Board from seven to eight. In accordance with the Company's bylaws, the Board has filled the vacancy by appointing Mr. Harmon Spolan to serve as a Class III member of the Board. As a Class III director, Mr. Spolan will stand for re-election to the Board at the Company's 2008 Annual Meeting of Stockholders. There are no arrangements or understandings under which Mr. Spolan was appointed and there are no transactions of the type required to be reported pursuant to Item 404(a) of Regulation S-K.
