Item 1.01. Entry into a Material Definitive Agreement
On October 6, 2006, Atlas America, Inc. (“Atlas”) entered into an amendment to its $200.0 million revolving credit facility with a syndicate of banks and administered by Wachovia Bank, National Association. The amendment changes the borrowing base re-determination dates to conform to Atlas' recent change of its fiscal year and modifies the covenant with respect to hedging arrangements to permit Atlas to hedge up to 85% of proved reserves.
