Explanation of Responses:

1. At the stockholders meeting in 2015, the stockholders approved an amendment to the Company's Amended and Restated Certificate of Incorporation to declassify the Company's Board of Directors and provide for the annual election of directors. As such, the director grants are being made to coincide with the one-year term of office. These grants vest on the first to occur of May 17, 2019 or the 2019 Annual Meeting of Stockholders.
