ITEM 5.07. SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.

On September 21, 2011, Rand Logistics, Inc. (the “Company”) held its Annual Meeting of Stockholders.

At its annual meeting, stockholders voted to re-elect director Jonathan Brodie to the Company’s Board of Directors. Mr. Brodie will serve as the Class II Director for a three year term that expires at the Company’s Annual Meeting of Stockholders to be held in 2014 or until his successor shall have been elected and shall qualify. Stockholders also ratified the selection of Grant Thornton LLP to serve as the Company’s independent registered public accounting firm for the 2012 fiscal year. The results of voting on the matters submitted to the stockholders are as follows:
