ITEM 2.01. COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS.

On October 14, 2011, Lower Lakes Towing Ltd. (“Lower Lakes”), an indirect wholly-owned subsidiary of Rand Logistics, Inc. (the “Company”), completed the acquisition of a bulk carrier (the “Vessel”), pursuant to the terms of an Asset Purchase Agreement, dated as of September 21, 2011 (the “Agreement”), by and among Lower Lakes, Grand River Navigation Company, Inc., an indirect wholly-owned subsidiary of the Company, and U.S. United Ocean Service, LLC.  Lower Lakes purchased the Vessel for $5,250,000, plus the value of the remaining bunkers and unused lubricating oils onboard the Vessel at the closing of the acquisition.

ITEM 8.01. OTHER EVENTS.

On October 20, 2011, the Company issued a press release announcing the completion of Lower Lakes’ acquisition of the Vessel.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
