Item 8.01. Other Events.
On May 30, 2019, an affiliate of ORIX Corporation USA (“ORIX”) completed an underwritten public offering of 3,000,000 shares of Class A common stock of Houlihan Lokey, Inc. (the “Company”), $0.001 par value per share (the “Class A Common Stock”). The offering generated net proceeds for ORIX of approximately $136.5 million before expenses. The Company did not receive any proceeds from the sale of the Class A Common Stock by ORIX.
In connection with the offering, the Company entered into an underwriting agreement, dated May 28, 2019 (the “Underwriting Agreement”), among the Company, ORIX and Goldman Sachs & Co. LLC (the “Underwriter”). The Underwriting Agreement contains customary representations and warranties of the parties, and indemnification and contribution provisions under which the Company and ORIX have agreed to indemnify the Underwriter against certain liabilities, including liabilities under the Securities Act of 1933, as amended (the “Securities Act”). Pursuant to the Underwriting Agreement, the Company has agreed, subject to certain exceptions, not to sell or transfer any shares of Class A Common Stock or any securities convertible into or exercisable or exchangeable for Class A Common Stock for 60 days after May 28, 2019 without first obtaining the written consent of the Underwriter. A copy of the Underwriting Agreement is attached as Exhibit 1.1 to this Current Report on Form8-K and is incorporated herein by reference.
The offering was made pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission (the “SEC”) on October 20, 2017 (FileNo. 333-221057), a base prospectus, dated October 20, 2017, included as part of the registration statement, and a prospectus supplement, dated May 28, 2019, filed with the SEC pursuant to Rule 424(b) under the Securities Act.
