(“Arlington”) and General Maritime Corporation (“General Maritime”) pursuant to the terms of an Agreement and Plan of Merger and Amalgamation, dated as of August 5, 2008 (the “Merger Agreement”), by and among Arlington, Galileo Holding Corporation, Archer Amalgamation Limited, Galileo Merger Corporation and General Maritime.
