Item 8.01. Other Events.
Pursuant to the Agreement and Plan of Merger and Amalgamation (the “Merger Agreement”), dated as of August 5, 2008, by and among Arlington Tankers Ltd. (the “Company”), Galileo Holding Corporation, Archer Amalgamation Limited, Galileo Merger Corporation, and General Maritime Corporation (“General Maritime”), the parties filed the required notification and report forms under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), on August 14, 2008. On August 26, 2008, the Company received notice that the U.S. Federal Trade Commission and the U.S. Department of Justice granted early termination of the waiting period under the HSR Act in connection with the proposed transaction. Completion of this review was one of the conditions to closing of the proposed transaction. The closing of the proposed transaction continues to be subject to other conditions, including approval by the respective shareholders of the Company and General Maritime. Although the proposed transaction is expected to be completed by the end of the fourth quarter of 2008, there can be no assurance that the transaction will be completed during such timeframe, or at all.
