On May 11, 2009, Alpha Natural Resources, Inc. ("Alpha") and Foundation Coal Holdings, Inc. ("Foundation") executed an agreement and plan of merger (the "Merger Agreement") pursuant to which Alpha, subject to certain conditions and terms set forth in the Merger Agreement, will merge with and into Foundation (the "Merger"), with Foundation as the surviving corporation which will be renamed Alpha Natural Resources, Inc.
On June 5, 2009, Foundation filed with the Securities and Exchange Commission a registration statement on Form S-4 that includes a preliminary joint proxy statement/prospectus regarding the proposed Merger. After the registration statement has been declared effective by the Securities and Exchange Commission, a definitive joint proxy statement/prospectus will be mailed to Foundation and Alpha stockholders in connection with the Merger.
