Item 8.01 Other Events
On June 18, 2009, Alpha Natural Resources, Inc. (“Alpha”) and Foundation Coal Holdings, Inc. (“Foundation”) issued a joint press release announcing that the companies set June 25, 2009 as the record date for determining the holders of common stock that will be entitled to notice of and to vote at the companies’ respective special meetings of stockholders regarding the proposed merger of Alpha and Foundation, and July 31, 2009 as the date for the special meetings. The joint press release also announced that Alpha’s Convertible Senior Notes due 2015 will be convertible beginning on June 18, 2009, and will remain convertible through the 30th day after the effective date of the proposed merger. A copy of the press release issued on June 18, 2009 is furnished as Exhibit 99.1 hereto and is incorporated by reference herein.
On June 22, 2009, Alpha and Foundation issued a joint press release announcing that the waiting period applicable to the consummation of the companies’ proposed merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 expired at 11:59 p.m. EDT on June 19, 2009. The joint press release also reiterated the previously announced record dates and the meeting dates of the companies’ respective special meetings, which announcement followed Foundation’s receipt of a letter from the Securities and Exchange Commission staff indicating that the staff would not review Foundation’s registration statement on Form S-4 relating to the proposed merger. A copy of the press release issued on June 22, 2009 is furnished as Exhibit 99.2 hereto and is incorporated by reference herein.

Alpha Natural Resources, Inc. is a leading supplier of high-quality Appalachian coal to the steel industry, electric utilities and other industries. Approximately 88 percent of the company's reserve base is high Btu coal and 83 percent is low sulfur, qualities that are valued by electric utilities that use steam coal.
