Item 1.01 Entry into a Material Definitive Agreement
On August 4, 2010, Eagle Bulk Shipping Inc. (the "Company") entered into a Fourth Amendatory Agreement to the credit agreement dated October 19, 2007, by and between the Company and The Royal Bank of Scotland plc, as mandated lead arranger, bookrunner, swap bank, agent and security trustee and certain other lenders (collectively the "Lenders"), pursuant to which the Lenders have consented to a trading operation and related hedging transactions by the Company.
