Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 11, 2008, the following two individuals were elected to the Federal Home Loan Bank of Des Moines ("Bank") Board of Directors ("Board") as independent directors for terms commencing January 1, 2009:
Paula R. Meyer, Principal of Paula R. Meyer Consulting, was elected to a four-year independent directorship term.
John F. Kennedy, Sr., Senior Vice President and CFO of St. Louis Equity Fund, Inc., was elected to a four-year independent directorship term.
At the time of this filing, Ms. Meyer serves on the following committees of the Bank's Board: Executive and Governance Committee, Risk Management Committee (chair), and Finance and Planning Committee. At the time of this filing, Mr. Kennedy serves on the following committees of the Bank's Board: Business Operations and Housing Committee, and Risk Management Committee. The 2009 Board committees on which Ms. Meyer and Mr. Kennedy will be named to serve have not yet been determined as of the date of this filing.
The cur rent terms of directors Paula R. Meyer and John F. Kennedy, Sr. will expire on December 31, 2008. Both directors have served as Bank directors since May 14, 2007.
The above directors' elections took place in accordance with the rules governing the election of Federal Home Loan Bank directors specified in the Federal Home Loan Bank Act ("Bank Act") and the related regulations of the Federal Housing Finance Agency ("Finance Agency").
