Explanation of Responses:

1. In Q1 2022, the reporting person was granted 3,100 shares of restricted stock which vest on February 28, 2025, subject to the satisfaction of certain performance criteria. The performance criteria were met, resulting in the vesting of 3,100 shares of restricted stock.

2. These shares were acquired pursuant to an Employee Stock Ownership Plan allocation.

3. The reporting person elected to pay for a tax liability by withholding securities incident to the vesting of a security (restricted stock) based on a market price of $16.17 per share.

4. Options are fully vested.
