Item 8.01 Other Events
On September 14, 2007, PolyMedix, Inc. (the “Company”) filed Post-Effective Amendment No. 1 to its SB-2 Registration Statement with the Securities and Exchange Commission (the “SEC”) to deregister the securities covered under such registration statement, which went effective on July 26, 2007. Shortly after the effectiveness of this filing, the Company plans to file a registration statement with the SEC to commence a new offering with an expanded selling syndicate. This notice does not constitute an offer to sell or a solicitation of an offer to buy any securities, which may only be made by means of a prospectus.
This Current Report on Form 8-K contains forward-looking statements made pursuant to the safe harbor provisions of the Private Securities Litigation Reform Act of 1995 that involve risks and that could cause PolyMedix’s actual results and experience to differ materially from anticipated results and expectations expressed in these forward looking statements. PolyMedix has tried, wherever possible, to identify these forward-looking statements by using words such as “anticipates,” “believes,” “hopes,” “estimates,” “looks,” “expects,” “plans,” “intends” and similar expressions. Among other things, there can be no assurance that (i) PolyMedix’s compounds will enter or successfully complete clinical testing or be granted regulatory approval to be sold and marketed in the Unites States or elsewhere or (ii) that we will be sucessful in any offering that we commence. A more complete description of these risks, uncertainties and assumptions is included in PolyMedix’s filings with the Securities and Exchange Commission, including those described under the heading “Risk Factors” in the Annual Report on Form 10-KSB originally filed by PolyMedix with the Securities and Exchange Commission (SEC) on March 19, 2007 as well as other filings. You should not place undue reliance on any forward-looking statements. PolyMedix undertakes no obligation to release publicly the results of any revisions to any such forward-looking statements that may be made to reflect events or circumstances after the date of this Current Report or to reflect the occurrence of unanticipated events.
