Item 1.01 Entry into a Material Definitive Agreement.
On May 31, 2010, OCZ Technology Group, Inc. (“OCZ”) entered into the Lease of Office Accommodation (the “Lease”) with Beleggingsmaatschappij Marcel B.V. (“Marcel”), pursuant to which OCZ leases from Marcel approximately 340 m², or 3,660 square feet, of office and warehouse facility, which is located at Coenecoop 89 B city Waddinxveen, The Netherlands.
The rental rate is € 7,375 (approximately $9,016) per quarter. In addition, under the terms of the Lease, OCZ is required to pay turnover tax. The Lease has an initial term of two-and-a-half (2 ½) years, commencing on June 1, 2010, and will be renewed for another two-and-a-half (2 ½) year term. Thereafter, the Lease will be extended in consecutive five (5) year term. The Lease may be terminated at the end of a rental period with a one-year prior written notice. The Lease is in Dutch with English translation; in the event of any dispute relating to the interpretation of the English text, the Dutch text will control.
The foregoing description of the terms of the Lease does not purport to be complete and is qualified in its entirety by reference to the Lease. An English translation of the Lease and the General Terms and Conditions for Lease of Office Accommodation are attached respectively as Exhibits 10.1 and 10.2 to this Current Report on Form 8-K and incorporated herein by reference.
